1. Who we are:
a. This is electronic platform to order various chemical components through online platform and in app features. Our aim is to make ordering at the outlet a breeze for you, and to better enhance your experience with us We do not recommend, solicit or advertise any person, brand, place, product or organisation.
2. Scheme:
a. This application is a privilege upon you. You are allowed to use the application only upon acceptance of the present terms and conditions.
b. Such a privilege and permission to use the application is consideration and benefit you are deriving and therefore, these terms and conditions will be binding upon you.
c. None of the provisions of this Agreement, terms and conditions, notices or the right to use the Application by the User contained herein or any other section or pages of the Application and/or the Linked Sites, shall be deemed to constitute a partnership between the User and Chemical Brothers App and no party shall have any authority to bind or shall be deemed to be the agent of the other in any way. It may be noted, however, that if by using the Application, the User authorizes Chemical Brothers App and its agents to access third party sites designated by them or on their behalf for retrieving requested information, the User shall be deemed to have appointed Chemical Brothers App and its agents as their agent for this purpose.
d. Use of the Application is offered to the User conditioned on acceptance without modification of all the terms, conditions and notices contained in this Agreement, as may be posted on the Application & Application (www.thebidcapital.in) from time to time. For the removal of doubts, it is clarified that use of the Application and the Application by the User constitutes an acknowledgement and acceptance by the User of this Agreement.
3. Who can use this App?:
a. If you are 15 years of age or older, then only you can use this application.
b. If we receive any complaint or notice from others or we have reason to believe otherwise that use is under age of 15 years, we reserve the right to suspend or terminate their Chemical Brothers App account and any and all content associated with that account. We may deny access to such account holders.
4. Basic Terms:
a. Our Service is provided to you for your personal, non-commercial enjoyment.
b. We reserve the right to change the terms of this User Agreement or to modify any features of our Service at any time without notice to you and, by continuing to use our Service, you agree to be bound by such changes. Any changes to this User Agreement shall become a part of this User Agreement and shall apply as soon as they are posted. You agree that we shall not be liable to you or any third party for any modification, suspension or discontinuance of our Service. Further, we may, in our sole discretion, terminate or suspend your access to and use of our Service (or any part thereof) at any time for any reason (including, without limitation, if we believe that you have violated or acted inconsistently with the terms of the following paragraph) or no reason whatsoever.
5. Registration username and security:
a. We offer you to log and use the mobile application and website through your account with Facebook & other web portals.
b. Terms & conditions, privacy policy of Face book & other web portals shall be strictly binding upon you.
c. You will not provide any false personal information on Chemical Brothers App, or create an account for anyone other than yourself without permission.
d. You will not create more than one personal account.
e. If we disable your account, you will not create another one without our permission.
f. You will keep your contact information accurate and up-to-date.
g. You will not share your password (or in the case of developers, your secret key), let anyone else access your account, or do anything else that might jeopardize the security of your account.
h. You must provide Chemical Brothers App with a valid email address at which you can receive messages now and in the future. If you do not provide such an email address, your Chemical Brothers App account may be terminated.
i. Even though you are using the application or application through a account with other web portals, Chemical Brothers App reserves right to deny access to any of such accounts at its sole discretion.
j. Don't pick a Chemical Brothers App name in order to impersonate someone or that is likely to cause confusion with another person or entity. Chemical Brothers App reserves the right to cancel account usernames at any time, or to modify them in order to alleviate potential confusion or other harm. Similarly, you may not use an avatar image that impersonates some other person or entity, or that is likely to cause confusion.
k. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. Chemical Brothers App cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

You understand that your Content may be syndicated, broadcast, distributed, or published by our partners and if you do not have the right to submit Content for such use, it may subject you to liability. Chemical Brothers App will not be responsible or liable for any use of your Content by Chemical Brothers App in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit.
8. Your responsibility:
a. The user agrees and undertakes that he should read and understand the revised terms and conditions every time he loges inn or open the application or application.
b. The User agrees and undertakes not to sell, trade or resell or exploit for any commercial purposes, any portion of the Service. For the removal of doubt, it is clarified that the Application is not for commercial use but is specifically meant for personal use only.
c. e.As part of your subscription, you agree to not use our Service to:
i). upload, post, publish, email, reproduce, distribute or otherwise transmit any information, data, text, music, sound, photographs, graphics, video, messages or other materials that are unlawful, harmful, threatening, embarrassing, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, deceptive, fraudulent, contain explicit or graphic descriptions or accounts of sexual acts, invasive of another's privacy, or hateful;
ii). “stalk” another;
iii). upload, post, publish, email, reproduce, distribute or otherwise transmit any content that victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
iv). harm minors in any way;
v). impersonate any person or entity, including, but not limited to, a Chemical Brothers App officer or other employee, or falsely state or otherwise misrepresent your affiliation with a person or entity;
vi). forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted to or through our Service;
vii). upload, post, publish, email, reproduce, distribute or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "Spam," "chain letters," "pyramid schemes," or any other form of solicitation;
viii). upload, post, publish, email, reproduce, distribute or otherwise transmit any material that contains software viruses, Trojan horses, worms, time bombs, cancel-bots, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment or any other similarly destructive activity, or surreptitiously intercept or expropriate any system, data or personal information;
ix). act in a manner that negatively affects other users' ability to use our Service;
x). interfere with or disrupt our Service or servers or networks connected to our Service, or disobey any requirements, procedures, policies or regulations of networks connected to our Service; or
xi). Intentionally or unintentionally violate any applicable local, state, national or international law.
xii). You also agree that you will not harvest, collect or store information about the users of our Service or the content posted by others on our Service or use such information for any purpose inconsistent with the purpose of our Service or for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic mail or communications.
f. You represent and warrant that
(i) any content you submit is either original to you, or all third party rights have been fully cleared for use; and
(ii) such content does not and will not, in any way, violate or breach any of the terms of this User Agreement. In furtherance of the foregoing, you agree that you will not:

(B) publish falsehoods or misrepresentations that could damage us or any third party;
(C) submit content that is unlawful, obscene, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; or
(D) post advertisements or solicitations of business. You understand that when you submit content in any form to Chemical Brothers App we may authorize such content to be distributed or syndicated to or published on our other affiliated sites.
g. In operating our Service, we do not solicit nor do we wish to receive any confidential, secret or proprietary information or other material from you through our Service or in any other way. Don’t include links in your content that are deceptive, misleading, or used for spamming or SEO purposes. Copyright or Trademark Violation. You may not use Chemical Brothers App to infringe on the copyrights or trademarks of others. If you believe that any content is infringing, please alert the content owner or rights holder. If you are the content owner or rights holder, or if you are authorized to represent them, please review and follow our DMCA notice and takedown procedures within the Chemical Brothers App terms of service. Automated Mass Registration or Mass Posting. Don't use automation to create accounts or to mass post to Chemical Brothers App. Unlawful Use. Indemnity The User agrees to indemnify, defend and hold harmless Chemical Brothers App from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Chemical Brothers App that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by the User pursuant to this Agreement
11. Disclaimers:
a. Chemical Brothers App has endeavoured to ensure that all the information on the application is correct, but Chemical Brothers App neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data or information contained. Chemical Brothers App makes no warranty, express or implied, concerning the application and/or its contents and disclaims all warranties of fitness for a particular purpose and warranties of merchantability in respect of services, including any liability, responsibility or any other claim, whatsoever, in respect of any loss, whether direct or consequential, to any user or any other person, arising out of or from the use of the information contained in the application.
b. Since Chemical Brothers App acts only as information sharing platform, it shall not have any liability whatsoever for any aspect of the arrangements between the service provider and the user as regards the standards of services provided by the service providers. In no circumstances shall Chemical Brothers App be liable for the services provided by the service provider.
c. Although Chemical Brothers App makes reasonable commercial efforts to ensure that the description and content in the TOS and on each page of the application is correct, it does not, however, take responsibility for changes that occurred due to human or data entry errors or for any loss or damages suffered by any user due to any information contained herein. These limitations, disclaimer of warranties and exclusions apply without regard to whether the damages arise from
(a) breach of contract,
(b) breach of warranty,
(c) negligence, or
(d) any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law .the maximum liability on part of Chemical Brothers App arising under any circumstances, in respect of any services offered on the site, shall be limited to the refund of total amount received from the customer for availing the services less any cancellation, refund or others charges, as may be applicable. 14. Limitation of liability

Our Liability to You is Limited: Chemical Brothers App and its affiliates, and their respective members, directors, officers, managers, employees, shareholders, agents and licensors are not liable for incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, including, without limitation, lost revenues or profits, loss of business or loss of data, in any way related to our Service or for any claim, loss or injury based on errors, omissions, interruptions or other inaccuracies in our Service. a. Assignment. No Party hereto shall assign or otherwise transfer this Agreement or any interest or right hereunder or delegate the performance of any of its obligations hereunder to any third party other than an Affiliate without the prior written consent of the other affected Party which consent may be withheld in such other Party's sole discretion. Any such attempted assignment, transfer or delegation without the other Party's prior written consent will be deemed null and void and result in the immediate termination of this Agreement without necessity of any notice.
b. Severability. If one or more provisions of this Agreement are held to be unenforceable under applicable law, such provision shall be excluded from this Agreement and the balance of the Agreement shall be interpreted as if such provision was so excluded and shall be enforceable in accordance with its terms.
c. Force Majeure. Parties shall not be liable to each other for any failure to perform any obligation hereunder, and from any delay in the performance thereof, due to causes beyond its control, including cyber traffic, cyber wars, cyber crimes, disputes of whatever nature, acts of God, public enemy, acts of government, failure of telecommunications, system malfunctions, fire or other casualty and where the concerned Party acts bonafide.
d. Entire Agreement. This Agreement supersedes, terminates and otherwise renders null and void certain prior written and/or oral agreements between the Parties with respect to the matters hereinabove expressly set forth. This Agreement represents and incorporates the entire understanding of the Parties hereto with respect to the matters herein expressly set forth and each Party acknowledges that there are no warranties, representations, covenants or understandings of any kind, nature or description whatsoever made by any Party to any other Party, except as are herein and therein expressly set forth.
e. Area of Operation: Although the user may access this application or website from anywhere in world but such services will be provided from Pune only.
f. Upon termination of this Agreement, End-User shall:
(a) cease using the Software; and
(b) if required, certify Chemical Brothers App within thirty (30) days after termination that End-User has destroyed or has returned the Software to Chemical Brothers App
g. Governing Law: This Agreement shall be governed by, interpreted and construed in accordance with the laws of India applicable therein, other than rules governing conflicts of laws. The parties irrevocably attorn to the jurisdiction of the courts of Pune.
